By (i) visiting or browsing our website, (ii) registering for or accessing the Client Portal, (iii) uploading documents or submitting information through the Portal, or (iv) otherwise engaging with our digital platforms, you accept and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you are accessing the website or Client Portal on behalf of a company, partnership, trust, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and references to 'you' shall include that entity.

 

2. DESCRIPTION OF SERVICES

Straightline Funding, LLCis a private lending company that provides financing solutions exclusively to real estate investors and business entities ("Borrowers"). Our website and Client Portal (collectively, "Services") are designed to facilitate the following:

• Submission and review of loan applications and investment deal packages

• Secure upload and storage of required documentation (e.g., purchase agreements, entity documents, appraisals, title reports, financial statements)

• Tracking the status of loan applications, active deals, and funding progress

• Secure communication between Borrowers and our lending team

• Access to loan documents, term sheets, and closing materials

• Review of account information, draw schedules, and servicing details

 

The Services are intended solely for use by real estate investors, real estate professionals, and business purpose loan brokers. Straightline Funding, LLC does not offer consumer mortgage products and is not a consumer lender subject to the Truth in Lending Act (TILA) as it applies to consumer credit. Nothing on this website or within the Client Portal constitutes an offer to lend or a commitment to provide financing.

 

3. ELIGIBILITY AND ACCOUNT REGISTRATION

3.1 Eligibility

To access the Client Portal, you must:

• Be at least 18 years of age (or the age of majority in your jurisdiction)

• Be a legal resident or entity lawfully organized in the United States

• Be seeking financing for investment, commercial, or business purposes, NOT for personal, family, or household use

• Have the legal capacity to enter into binding contracts

• Not be prohibited by applicable law from accessing our Services

 

3.2 Account Creation

You may be required to create an account to access certain features of the Client Portal. When creating an account, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us immediately at info@straightlinefunding.com if you suspect any unauthorized access to or use of your account. Straightline Funding, LLC will not be liable for any loss or damage arising from your failure to protect your login credentials.

 

3.3 Account Termination

4. CLIENT PORTAL — DOCUMENT UPLOAD & DEAL TRACKING

4.1 Document Submission

When uploading documents to the Client Portal, you represent and warrant that:

• You are the rightful owner of, or have the legal authority to submit, all documents uploaded

• All documents and information submitted are true, accurate, complete, and not misleading

• Documents do not infringe upon the intellectual property, privacy, or other rights of any third party

• You will not upload malicious code, viruses, or any harmful content

• Submission of documents does not violate any applicable law, regulation, or court order

 

4.2 Acceptable Use of the Portal

You agree not to use the Client Portal to:

• Submit false, fabricated, or materially misleading information or documentation

• Impersonate any person, entity, or borrowing entity

• Circumvent any security measures or access controls

• Reverse engineer, decompile, or attempt to extract source code from the Portal

• Interfere with, disrupt, or overload the Portal's infrastructure

• Share your login credentials with unauthorized parties

• Use automated bots, scrapers, or other tools to access the Portal

 

4.3 No Guarantee of Loan Approval

Submission of documents through the Client Portal or tracking of a deal does not constitute a commitment to fund any loan or enter into any lending arrangement. All financing is subject to underwriting review, due diligence, credit approval, and execution of formal loan documents. We reserve the right to decline any application at its sole discretion.

 

4.4 Data Retention

Straightline Funding, LLC may retain documents and data submitted through the Client Portal for regulatory, compliance, and business purposes. Upon termination of your account, we may retain certain records as required by law or as needed for legitimate business purposes. 5. NOT INVESTMENT OR LEGAL ADVICE

The information provided on our website and within the Client Portal is for informational purposes only and does not constitute legal, financial, investment, tax, or other professional advice. This confidentiality obligation does not apply to information that: (i) is or becomes publicly available through no breach of this Agreement; (ii) was rightfully known to you prior to disclosure; (iii) is independently developed by you without use of Confidential Information; or (iv) is required to be disclosed by law or court order, provided you give us prompt written notice.

 

8. INTELLECTUAL PROPERTY

All content on the website and within the Client Portal, including but not limited to text, graphics, logos, icons, images, software, and compilations thereof ("Content"), is the exclusive property of Straightline Funding, LLC or its licensors and is protected by applicable copyright, trademark, trade secret, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for their intended purpose. You may not:

STRAIGHTLINE FUNDING, LLC DOES NOT WARRANT THAT:

• THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR HARMFUL COMPONENTS

• ANY INFORMATION PROVIDED THROUGH THE SERVICES IS ACCURATE, COMPLETE, OR CURRENT

• THE PORTAL WILL MEET YOUR SPECIFIC BUSINESS REQUIREMENTS

• ANY DEFECTS WILL BE CORRECTED

 

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

 

11. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL STRAIGHTLINE FUNDING, LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES

• LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES

• DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA

• DAMAGES ARISING FROM YOUR RELIANCE ON INFORMATION PROVIDED THROUGH THE SERVICES

• DAMAGES ARISING FROM ANY INTERRUPTION OR CESSATION OF THE SERVICES

 

IN ALL CASES, STRAIGHTLINE FUNDING LLC'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (I) ONE HUNDRED DOLLARS ($100.00) OR (II) THE AMOUNT YOU PAID TO STRAIGHTLINE FUNDING, LLC IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

 

12. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Straightline Funding, LLC its officers, directors, shareholders, employees, agents, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use of or inability to use the Services

• Your violation of these Terms

• Your submission of false, inaccurate, or misleading information

• Any third-party claim arising from your use of the Services

• Your violation of any applicable law or regulation

• Infringement of any third-party intellectual property or privacy rights by you

 

13. REGULATORY COMPLIANCE AND ANTI-FRAUD

13.1 Know Your Customer (KYC) / Anti-Money Laundering (AML)

You agree that all agreements, notices, disclosures, and other communications provided electronically satisfy any legal requirement that such communications be in writing. If Straightline Funding, LLC utilizes electronic signature capabilities through the Portal or integrated third-party services (such as DocuSign or similar platforms), you agree that your electronic signature constitutes a valid and binding signature to the same extent as a handwritten signature, to the fullest extent permitted by the Electronic Signatures in Global and National Commerce Act (E-SIGN Act) and applicable state law.

16. SUSPENSION AND TERMINATION OF SERVICES

Straightline Funding, LLC reserves the right to suspend, restrict, or terminate your access to the Services at any time, without notice, for reasons including but not limited to:

• Violation of these Terms

• Submission of fraudulent, forged, or materially inaccurate documents

• Conduct that harms other users, third parties, or the Company

• Required by law, court order, or regulatory directive

• Inactivity or business reasons at our sole discretion

 

Termination of your access does not relieve you of any obligations incurred prior to termination, including outstanding loan obligations governed by separate loan agreements.

 

17. DISPUTE RESOLUTION

17.1 Governing Law

These Terms and any disputes arising hereunder shall be governed by and construed in accordance with the laws of the State of North Carolina, without regard to its conflict of law provisions.

 

17.2 Mandatory Arbitration

EXCEPT AS OTHERWISE PROVIDED HEREIN, ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL BE RESOLVED BY BINDING ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION ("AAA") UNDER ITS COMMERCIAL ARBITRATION RULES. THE ARBITRATION SHALL TAKE PLACE IN [STATE] AND SHALL BE CONDUCTED IN ENGLISH. THE ARBITRATOR'S DECISION SHALL BE FINAL AND BINDING AND MAY BE ENTERED AS A JUDGMENT IN ANY COURT OF COMPETENT JURISDICTION.

 

17.3 Class Action Waiver

YOU AND STRAIGHTLINE FUNDING, LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING.

 

17.4 Exceptions

Nothing in this Section shall prevent either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm, including unauthorized use of Confidential Information or intellectual property.

 

18. GENERAL PROVISIONS

18.1 Entire Agreement

These Terms, together with the Privacy Policy and any executed loan agreements or other written agreements between you and Straightline Funding, LLC, constitute the entire agreement between you and the Company with respect to the subject matter hereof and supersede all prior or contemporaneous communications, representations, or agreements.

 

18.2 Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining Terms shall continue in full force and effect.

 

18.3 Waiver

No waiver by Straightline Funding, LLC of any right or provision of these Terms shall be deemed a further or continuing waiver of such right or provision or a waiver of any other right or provision.

 

18.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without the prior written consent of Straightline Funding, LLC. Straightline Funding, LLC may freely assign these Terms without restriction.

 

18.5 Force Majeure

Straightline Funding, LLC shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including acts of God, natural disasters, government actions, cyber-attacks, pandemics, or failures of third-party service providers.

 

18.6 No Agency

Nothing in these Terms shall be construed to create a partnership, joint venture, employment, or agency relationship between you and Straightline Funding, LLC. Neither party has authority to bind the other in any respect.
